1. Acceptance of Terms

By accessing or using the Alaga platform, website, applications, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Throughout these Terms, "you" and "your" refer to the individual or entity accessing the Service, whether as a Business Subscriber or an End-User. "We," "us," and "our" refer to Alaga LLC, a Texas limited liability company headquartered in Humble, Texas, operating as Alaga.

Key Definitions:

  • Alaga — The platform provider operating the Service.
  • Business Subscriber — A pet care business (grooming, boarding, daycare, or related services) that subscribes to the Service to manage its operations.
  • End-User — A client of a Business Subscriber (typically a pet owner) who interacts with the Service through a business's booking portal or client-facing features.
  • Staff Account — An account created by a Business Subscriber for its employees, contractors, or agents to access the Service on behalf of the business.
  • Service — The Alaga cloud-based platform, including all features, tools, APIs, and related services.

2. Platform Description and ISV Relationship

Alaga is a cloud-based software-as-a-service (SaaS) platform designed for pet care businesses, including groomers, boarding facilities, and daycare providers. The Service provides tools for appointment scheduling, client and pet management, staff management, payment processing, communications, reporting, and business analytics.

The Service operates on a three-tier relationship model:

  • Alaga provides the technology platform and infrastructure.
  • Business Subscribers use the platform to operate and manage their pet care businesses.
  • End-Users interact with the platform through their chosen business's booking portals and client-facing features.

Important: Alaga is an independent software vendor (ISV) that provides technology tools to pet care businesses. Alaga is not the employer of any Business Subscriber's staff, is not the operator of any Business Subscriber's business, and is not a veterinary care provider. All business decisions, employment relationships, veterinary referrals, and service delivery are the sole responsibility of the Business Subscriber.

3. Account Types and Eligibility

The Service supports the following account types:

  • Business Subscriber Accounts: Available to individuals who are at least 18 years of age and authorized to bind the business entity to these Terms. The person creating the account represents and warrants that they have the authority to agree to these Terms on behalf of the business.
  • Staff Accounts: Created and managed by Business Subscribers for their employees, contractors, or agents. Business Subscribers are solely responsible for the actions taken through Staff Accounts, including granting and revoking access, managing permissions, and ensuring staff compliance with these Terms.
  • End-User Accounts: Created by pet owners through a Business Subscriber's booking portal or client-facing features. End-Users interact with the Service as directed by the Business Subscriber.

All users must provide accurate, complete, and current information when creating an account and must maintain the security of their login credentials. You are responsible for all activity that occurs under your account. You must notify us immediately at chris@alaga.io if you become aware of any unauthorized use of your account.

4. Subscription and Billing

Alaga offers the Service through paid subscription plans. Access to the platform begins with a demo-led onboarding process. Prospective Business Subscribers may request a demo and receive a 30-day demo account to evaluate the Service before committing to a paid subscription.

Subscription Tiers

  • Starter: $59 per month
  • Professional: $99 per month
  • Premium: $149 per month
  • Enterprise: Custom pricing (contact sales)

Auto-Renewal Disclosure

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Please review the following carefully:

  • Subscriptions renew automatically on a monthly basis at the then-current rate for your plan tier.
  • You may cancel your subscription at any time before the next renewal date. Cancellation takes effect at the end of the current billing period; you will retain access to the Service through the remainder of your paid period.
  • We will send a renewal reminder email at least 7 days before each renewal date.
  • If we change subscription pricing, we will provide at least 30 days' written notice via email before the new pricing applies to your account.
  • No refunds are issued for partial billing periods after cancellation.

Payment Processing

All subscription payments are processed through Stripe. By subscribing, you authorize Alaga to charge your designated payment method on a recurring basis. You agree to provide current, complete, and accurate billing information and to promptly update your payment method if it changes or expires.

5. Payment Processing for Businesses

The Service includes integrations with third-party payment processors to enable Business Subscribers to accept payments from their clients. The currently supported processors are:

  • Stripe (via Stripe Connect)
  • Square
  • Paygistix

Alaga is a technology platform that facilitates payment processing integrations. Alaga is not a payment processor, a money transmitter, or a financial institution. Alaga does not store credit card numbers or other full payment credentials. All payment card data is handled directly by the applicable third-party processor in accordance with their security and compliance standards.

Business Subscribers are responsible for establishing and maintaining their own agreements with their chosen payment processor(s), including compliance with the processor's terms of service, fee schedules, and applicable regulations (such as PCI-DSS).

End-Users who have payment disputes or chargebacks should direct them to the Business Subscriber first. Alaga does not mediate payment disputes between Business Subscribers and their clients.

6. Messaging and Communications

The Service enables Business Subscribers to send communications to their clients, including appointment reminders, confirmations, and other business-related messages. These communications are sent on behalf of the Business Subscriber, not on behalf of Alaga.

  • SMS Messages: Delivered via Twilio. Business Subscribers are responsible for obtaining proper consent from recipients before sending SMS messages, in compliance with the Telephone Consumer Protection Act (TCPA) and applicable state and federal regulations.
  • Email Messages: Delivered via Resend. Business Subscribers are responsible for compliance with the CAN-SPAM Act and applicable email marketing regulations, including maintaining accurate sender information and honoring unsubscribe requests.

Full SMS messaging terms and conditions, including message frequency, opt-out instructions, and carrier disclosures, are available at /messaging-terms. Business Subscribers agree to comply with the Messaging Terms in addition to these Terms.

7. Data Ownership and Rights

We respect the ownership rights of our users and maintain clear boundaries around data ownership:

  • Business Subscriber Data: Business Subscribers retain full ownership of all business data they input into the Service, including client records, appointment data, financial records, staff information, and business configurations. Alaga does not claim ownership of Business Subscriber data.
  • End-User Data: End-Users retain ownership of the personal information they provide through the Service, including their name, contact details, pet information, and booking preferences.
  • Limited License: By using the Service, you grant Alaga a limited, non-exclusive, non-transferable license to use, process, and store your data solely for the purpose of providing, maintaining, and improving the Service. This license terminates when your account is closed or your data is deleted.

Data Portability

Business Subscribers may export their data from the Service at any time using the available export features. Upon termination of a subscription (whether by cancellation, non-renewal, or account closure), Business Subscribers have a 30-day window to export their data before it is permanently deleted from our systems.

8. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Transmit malicious code, viruses, or any content designed to disrupt or damage the Service.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
  • Use the Service for purposes other than managing a legitimate pet care business (for Business Subscribers) or interacting with a pet care business (for End-Users).
  • Engage in fraudulent, deceptive, or misleading activities through the Service.
  • Use the Service for competitive analysis, benchmarking, or to build a competing product.

9. Intellectual Property

The Service, including all software, source code, object code, user interface designs, graphics, trademarks, logos, documentation, and all other materials provided by Alaga (collectively, "Alaga IP"), are the exclusive property of Alaga and are protected by copyright, trademark, trade secret, and other intellectual property laws. These Terms do not grant you any ownership interest in Alaga IP.

Business Subscribers retain all rights to their own branding, logos, content, and materials that they upload or configure within the Service.

You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service. You may not copy, modify, distribute, sell, or lease any part of the Service or Alaga IP without prior written consent from Alaga.

10. Third-Party Integrations

The Service integrates with or relies upon the following third-party services to deliver its features:

  • Stripe and Stripe Connect — Payment processing for subscriptions and business transactions
  • Square — Payment processing integration
  • Paygistix — Payment processing integration
  • Twilio — SMS messaging and notifications
  • Resend — Email delivery
  • Google Maps — Location and mapping services
  • Google Calendar — Calendar synchronization

Your use of third-party services through the Alaga platform is subject to the respective terms of service and privacy policies of those third-party providers. Alaga is not responsible for the availability, accuracy, performance, or security of third-party services. Downtime, errors, or policy changes by third-party providers are outside of Alaga's control and do not constitute a breach of these Terms.

11. Disclaimers

ALAGA IS NOT A VETERINARY SYSTEM AND DOES NOT PROVIDE VETERINARY ADVICE.

The Service is a business management tool for pet care businesses. Any pet health notes, medical history fields, or vaccination tracking features within the platform are provided for convenience and record-keeping purposes only. They are not a substitute for professional veterinary advice, diagnosis, or treatment. Business Subscribers and End-Users should always consult a licensed veterinarian for any questions regarding an animal's health or medical condition. Alaga assumes no responsibility for veterinary decisions made by any party.

Not a Financial Advisor: Alaga provides business analytics, reporting, and payment processing integration tools for informational purposes. Alaga is not a financial advisor, accountant, or tax professional. Business Subscribers are responsible for their own financial, accounting, and tax decisions and should consult qualified professionals for financial advice.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALAGA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. ALAGA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALAGA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO ALAGA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALAGA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND REGARDLESS OF WHETHER ALAGA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the foregoing, Alaga shall have no liability for:

  • Errors, delays, or failures in payment processing by third-party processors (Stripe, Square, or Paygistix).
  • Missed appointments, scheduling conflicts, or business disruptions resulting from notification delivery failures by third-party messaging providers.
  • Any veterinary outcomes, animal health decisions, or injuries arising from the use of or reliance on information stored in the Service.
  • Loss of data resulting from user actions, including accidental deletion, misconfiguration, or failure to maintain backups.
  • Actions or omissions of Business Subscribers, their staff, or End-Users.

13. Indemnification

You agree to indemnify, defend, and hold harmless Alaga and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Business Subscriber Indemnification

Business Subscribers agree to indemnify Alaga for claims arising from:

  • Your misuse of the Service or violation of these Terms or the Acceptable Use Policy.
  • Your violation of any applicable law, regulation, or third-party right.
  • Failure to comply with SMS messaging regulations (TCPA), email marketing regulations (CAN-SPAM), or the Messaging Terms.
  • Claims brought by End-Users, clients, or other third parties related to your business operations, services, or conduct.
  • Employment disputes, labor claims, or contractor disputes involving your staff or Staff Accounts.

End-User Indemnification

End-Users agree to indemnify Alaga for claims arising from:

  • Your misuse of the Service or violation of these Terms.
  • Providing false, misleading, or inaccurate information through the Service.

14. Account Termination and Suspension

Alaga may suspend or terminate your access to the Service, without prior notice, for any of the following reasons:

  • Violation of these Terms or the Acceptable Use Policy.
  • Non-payment of subscription fees after applicable grace periods.
  • Engagement in illegal activity or use of the Service to facilitate illegal activity.
  • Conduct that poses a security risk to the Service or its users.

Business Subscribers may cancel their subscription at any time through the account settings or by contacting us at chris@alaga.io. Cancellation takes effect at the end of the current billing period.

Post-Termination Data

Upon termination or cancellation, Business Subscribers have a 30-day window to export their data using the available export features. After this 30-day period, all account data will be permanently deleted from our systems, except as required by law or as described in our Privacy Policy.

Surviving Provisions

The following sections survive termination of these Terms: Section 7 (Data Ownership and Rights), Section 9 (Intellectual Property), Section 11 (Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 15 (Governing Law and Dispute Resolution), and Section 17 (Severability and Entire Agreement).

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.

Mandatory Arbitration

For any dispute, claim, or controversy arising out of or relating to these Terms or the Service where the amount in controversy exceeds $10,000, you agree to resolve the dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Harris County, Texas.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Alaga.

Small Claims

For disputes where the amount in controversy is $10,000 or less, either party may bring a claim in the small claims court of Harris County, Texas, as an alternative to arbitration.

16. Modifications to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account before the changes take effect. We will also update the "Last updated" date at the top of these Terms.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service before the changes take effect.

17. Severability and Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms.

These Terms, together with the Acceptable Use Policy, Privacy Policy, Cookie Policy, and Messaging Terms, constitute the entire agreement between you and Alaga regarding your use of the Service, and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Alaga.
